Terms of Service

By creating an account, accessing, or using any services provided by Kentunez Music ("Kentunez," "we," "us," or "our"), you ("Artist," "you," or "your") acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you must immediately discontinue use of our platform and services.

Kentunez is a digital music distribution platform that enables independent artists and labels to upload, manage, and distribute their musical works to over 150 streaming platforms and digital stores worldwide, including but not limited to Spotify, Apple Music, YouTube Music, TikTok, Deezer, Boomplay, Amazon Music, Tidal, and Shazam. Our services include content delivery, metadata management, analytics reporting, royalty collection, and related tools accessible through your dashboard.

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account. If you are between 13 and 18 years old, you may use the service only with the involvement and consent of a parent or legal guardian who agrees to be bound by these terms.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You agree to notify Kentunez immediately of any unauthorized access or security breach. We reserve the right to suspend or terminate accounts involved in unauthorized activity.

Each individual or entity may maintain only one active account. Creating multiple accounts to circumvent restrictions, abuse promotions, or manipulate the platform is strictly prohibited.

You retain full ownership of all music, artwork, metadata, and other content ("Content") that you upload to Kentunez. We do not claim any ownership rights over your intellectual property.

By uploading Content, you represent and warrant that: (a) you are the sole creator and owner of the Content, or you have obtained all necessary rights, licenses, and permissions from all rights holders; (b) the Content does not infringe upon or violate any third-party intellectual property rights, including copyrights, trademarks, or rights of publicity; (c) you have the legal authority to grant the licenses described herein.

You are solely responsible for any claims, disputes, or legal actions arising from the Content you upload, including but not limited to copyright infringement claims from collecting societies, labels, publishers, or other rights holders.

By submitting Content for distribution through Kentunez, you grant Kentunez a non-exclusive, worldwide, royalty-free license to reproduce, distribute, transmit, publicly display, publicly perform, and make available your Content solely for the purpose of delivering it to the streaming platforms and digital stores you select ("Distribution License").

Territory & Scope: The Distribution License covers all territories worldwide where your selected stores operate. You may choose to distribute to all available stores or select specific platforms during the submission process.

Duration: The Distribution License remains in effect for as long as your Content is live on any platform through Kentunez. Upon a takedown request, Kentunez will submit removal requests to all applicable stores. Actual removal timelines vary by platform and typically range from 3 to 14 business days.

Non-Exclusivity: This agreement is non-exclusive. You are free to distribute your Content through other distributors or directly, provided that doing so does not create duplicate listings or ISRC conflicts on any platform.

Rights Granted: The license grants Kentunez only the minimum rights necessary to execute distribution on your behalf. We will not sublicense your Content for any purpose other than delivery to your selected stores, and we will not use your Content in advertising, compilations, or third-party projects without your explicit written consent.

Quality Control: All submissions are subject to our automated and manual Quality Control (QC) review. Kentunez reserves the right to reject, delay, or remove Content that fails to meet platform-specific requirements, contains detectable copyright violations, or does not comply with our content guidelines.

You agree not to upload, distribute, or otherwise make available any Content that: (a) infringes on the intellectual property rights of any third party; (b) contains unauthorized samples, beats, or recordings; (c) promotes hate speech, violence, terrorism, or discrimination; (d) is obscene, defamatory, or constitutes harassment; (e) contains malware, viruses, or harmful code; (f) violates any applicable local, national, or international law.

Prohibited conduct includes but is not limited to: artificial stream manipulation or fraud, creating fake or misleading releases, uploading AI-generated content without proper disclosure, impersonating other artists or entities, and attempting to circumvent our Quality Control process.

Violation of these terms may result in immediate content removal, account suspension, forfeiture of unpaid royalties, and potential legal action.

Kentunez offers subscription-based access to its distribution services. Current plans include Starter (KES 450/month or KES 2,500/year), Growth (KES 550/month or KES 4,500/year), and Pro (KES 800/month or KES 7,200/year). Plan features and pricing are subject to change with reasonable notice.

Subscriptions are billed at the start of each billing cycle (monthly or annually). You may upgrade your plan at any time; the new plan takes effect immediately. Downgrading is available at the end of your current billing period.

If your subscription expires, your existing releases will remain live on stores. However, you will be unable to submit new releases, access premium analytics, or request withdrawals until you renew your subscription.

Kentunez collects royalties on your behalf from streaming platforms and digital stores. Royalty amounts are determined by each platform based on their respective payout models and your streaming or download performance.

Royalties are processed monthly and reflected in your dashboard earnings. You may request a withdrawal at any time once you have reached the minimum withdrawal threshold. Withdrawals are available via M-Pesa (Kenya), bank transfer, or PayPal, depending on your region.

Kentunez does not take any commission or percentage of your streaming royalties. Your subscription fee is the only cost — you keep 100% of what the platforms pay.

Royalty reporting from stores typically has a 30–60 day delay. New releases may take up to 2 months before earnings appear in your dashboard. Kentunez is not responsible for discrepancies in store reporting or delays in platform payouts.

You may terminate your account at any time by contacting support@kentunez.com. Upon termination, Kentunez will initiate takedown requests for all your distributed Content. You will retain access to request withdrawal of any accrued and unpaid royalties for 30 days following termination.

Kentunez reserves the right to suspend or terminate your account immediately, without prior notice, if you: (a) violate any provision of these Terms; (b) engage in fraudulent activity; (c) receive multiple copyright infringement claims; (d) engage in any conduct that we determine, in our sole discretion, may harm the platform, other users, or our store partnerships.

Upon termination for cause, Kentunez may withhold any unpaid royalties as permitted by law and reserve the right to pursue legal remedies for damages incurred.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KENTUNEZ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

Kentunez's total aggregate liability for any claims arising from these Terms or the service shall not exceed the amount you paid to Kentunez in the twelve (12) months preceding the claim.

Kentunez does not guarantee uninterrupted access to the platform, nor do we guarantee that any Content will be accepted by all stores or that stores will not remove Content at their discretion.

You agree to indemnify, defend, and hold harmless Kentunez, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the service; (b) your Content; (c) your violation of these Terms; (d) your violation of any rights of any third party; or (e) any claim that your Content caused damage to a third party.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from or relating to these Terms or the service shall first be attempted to be resolved through good-faith negotiation between the parties.

If a dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to binding arbitration under the rules of the Nairobi Centre for International Arbitration (NCIA). The language of arbitration shall be English.

Kentunez reserves the right to modify or update these Terms at any time. Material changes will be communicated via email to your registered address and/or through a prominent notice on the platform at least 14 days prior to taking effect. Your continued use of the service after such changes constitutes your acceptance of the updated Terms. If you do not agree with the revised Terms, you must discontinue use of the platform.
